Terms of Service

1. Acceptance of Terms
By accessing or using the Nexa platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the service. Nexa reserves the right to modify these terms at any time. Your continued use of the service following the posting of revised terms means that you accept and agree to the changes.

2. Account Registration and Responsibilities
To use Nexa, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information about yourself as required by the registration form.
You agree to notify Nexa immediately of any unauthorized use of your account or any other breach of security. You are solely responsible for your interactions with other users of the service.
3. Acceptable Use Policy
You agree not to use the Nexa service for any illegal purpose, to interfere with or disrupt the service or servers, or to gain unauthorized access to other network users or information. You may not upload, transmit, or distribute content that is defamatory, obscene, harassing, hateful, or racially or ethnically offensive.
You may not use the service to generate, upload, or distribute content that infringes upon the intellectual property rights of any third party, including copyrighted material, trademarks, or trade secrets.
4. Intellectual Property and Image Ownership
Nexa owns all right, title, and interest in and to the Nexa platform, including all source code, databases, functionality, software, and documentation. Your use of the platform grants you a limited, non-exclusive, non-transferable license to access and use the service solely for your internal business operations.
You retain full ownership of your images and other content uploaded to the platform. Nexa does not claim ownership of your content. You grant Nexa a limited, non-exclusive license to process your images solely to provide the AI tagging and organization services described in these terms.
5. Subscription, Billing, and Cancellation Terms
The Nexa service is offered on a subscription basis. You will be charged the fees set forth in the pricing page at the time of purchase. Payment is due monthly in advance. We reserve the right to change our fees at any time, provided that we give you reasonable notice of any such changes.
You may cancel your subscription at any time. Upon cancellation, your access to the service will continue until the end of the current billing period. No refunds will be provided for partial months or for unused portions of the service.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Nexa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.
In no event shall Nexa’s total liability to you for all claims exceed the amount you paid, if any, for the service in the twelve (12) months prior to the claim's inception.
7. Governing Law and Dispute Resolution
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms of Service or the Services shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. You and Nexa hereby waive any right to a trial by jury and to file a class action.
